On July 1, 2026, the United States declined to extend the United States-Mexico-Canada Agreement for a new 16-year term. The agreement did not expire. Its own rules instead moved the three governments into annual reviews while negotiations continued.USTRCUSMA The railway joining those countries had already completed its integration three years earlier.

This timing makes Canadian Pacific's acquisition of Kansas City Southern more interesting than its original synergy forecast. CPKC became the only freight railway able to move a shipment on one corporate network through Canada, the United States and Mexico. Then trade policy began treating those three countries less like one production platform and more like relatives discussing an inheritance.

The obvious conclusion is that tariffs hurt cross-border railways. CPKC says so itself: changes to tariffs, quotas or the USMCA can reduce freight volumes and disrupt customer investment.10K A railway earns nothing from a train that a tariff makes uneconomic.

The less obvious conclusion concerns the traffic that moves somewhere else. If a manufacturer replaces a US supplier with a Canadian one, expands a Mexican plant, sells into a different national market or changes which port receives its imports, the valuable asset is no longer a route optimized for yesterday's flow. It is the ability to serve several plausible flows without negotiating a new railway handoff each time.

CP did buy growth. It also bought a physical option on where North American growth might occur.

US$31 billion bought the missing half of a map

Canadian Pacific and Kansas City Southern first agreed to combine in March 2021. Canadian National then signed a US$33.6 billion agreement with KCS. In August, the US Surface Transportation Board rejected CN's proposed voting trust unanimously as inconsistent with the public interest. KCS returned to CP, whose revised agreement valued the railway at US$300 per share and approximately US$31 billion of enterprise value, including US$3.8 billion of assumed debt.CNDEALCNTRUSTDEAL

The price was real. CP planned to issue 262 million new shares, raise about US$8.5 billion of debt and assume KCS's existing debt. Former KCS shareholders were expected to own 28% of CP after the transaction closed into trust.DEAL This was not a small adjacency purchased from the corporate sofa cushions.

What justified the bill was the fit. CP already ran east-west across Canada and through the northern United States. KCS ran south from Kansas City through the central and southern United States, with a Mexican operation reaching Mexico City and the ports of Lázaro Cárdenas, Veracruz, Altamira and Tampico. The two systems met in Kansas City and had little overlapping track.STB10K Each railway owned a useful network. Together they formed a north-south spine through the continent.

CP closed the acquisition on December 14, 2021, but the KCS shares went into an independent voting trust. The companies continued operating separately until the STB approved CP's control in March 2023. They combined on April 14.TRUSTCOMBINE Corporate ownership therefore arrived sixteen months before operational control, an unusually expensive demonstration that paying for an asset and being allowed to use it are separate milestones.

The merger announcement forecast approximately US$1 billion in annualized synergies within three years. It also emphasized new single-line routes for automotive freight, agriculture, chemicals, energy, intermodal containers and access to ports on three coasts.DEAL The synergy number was the conventional valuation story. The route set was the more durable one.

Synergies assume management knows which flows will grow. Optionality is what remains useful when management does not.

A single line removes a corporate border

A single-line railway movement stays with one carrier from origin to destination. An interline movement is handed from one railway to another at a gateway. The steel wheels do not object to either arrangement. Schedules, rates, liability, railcar positioning and capital budgets are more opinionated.

The STB found that the CPKC combination could create more reliable service, reduce terminal delay, improve railcar utilization and make it easier for customers to deal with one integrated system. It would also eliminate the interchange between CP and KCS for traffic crossing their former networks.STB One owner can decide how to sequence trains, where to add a siding and how to price the full journey. Two owners must make those decisions agree.

This advantage should not be romanticized. During the merger review, applicants' own analysis indicated that many new CPKC routes would average about 200 miles longer than existing alternatives. The STB also challenged parts of their traffic-diversion methodology. Still, evidence in the record showed that, for routes of equal length, single-line service captured more traffic than interline alternatives. Another railway's analysis assigned an interchange a cost equivalent to 350 to 650 route miles, depending on volume.STB The shortest line on a map can lose to the route with one fewer operating company in the middle.

CPKC turned that mechanism into a product within a month of integration. Its Mexico Midwest Express linked Chicago, Kansas City, Texas, Monterrey and San Luis Potosí. CPKC advertised Chicago to San Luis Potosí in 98 hours, one day faster than the nearest competitor, and signed multi-year agreements with Schneider and Knight-Swift for the north-south corridor.MMXSCHNEIDER The service had existed as an interline proof of concept. The merger let CPKC run and sell it as one line.

That difference is the route option. The physical geography did not change. CPKC internalized the handoff.

Trade fragmentation made origin and destination less predictable

North American trade has not simply stopped. It has become more conditional.

In 2025, Canadian merchandise exports to the United States fell 5.8%. The US share of Canadian merchandise exports dropped from 75.9% to 71.7%, while Canadian trade with countries other than the United States rose 14.3%.CANTRADE During the same year, US goods and services trade with Mexico reached an estimated US$964.1 billion, up 3.7%, and US goods imports from Mexico increased 6.2%.MEXTRADE These figures do not describe a clean relocation from Canada to Mexico. They show that the old proportions moved.

Businesses said they intended to move them further. In a Statistics Canada survey conducted during the third quarter of 2025, 35.9% of Canadian businesses importing from the United States planned to seek alternative suppliers outside the US, while 32.6% planned to increase domestic sourcing. Among businesses exporting to the US, 24.2% planned to seek customers elsewhere. Half of manufacturing businesses importing from the US planned to find alternative foreign suppliers.BIZSURVEY Supplier diversification had escaped the conference room and entered the purchasing queue.

Policy supplied the incentive. In 2025, the United States imposed 25% tariffs on Canadian and Mexican goods that did not qualify under the USMCA, alongside separate sectoral measures. In July 2026, it announced additional 50% duties on selected Canadian products regardless of USMCA origin.TARIFF25TARIFF26 The United States then declined to extend the USMCA term at its first six-year review. Under Article 34.7, that decision triggers annual reviews; it does not immediately cancel the agreement.USTRCUSMA The continent still has a trade agreement. It also has a recurring meeting to discuss whether everyone remains emotionally available for it.

This is where route optionality becomes easy to overstate. Customs duties follow the product, its classification and its origin. Sending Canadian steel through Mexico does not make it Mexican. A railway cannot move a factory, qualify a product under the USMCA or manufacture a substitute supplier.

What it can do is serve the new movement after the commercial decision changes. A customer that sources in Mexico instead of Canada needs a different origin. A Mexican producer selling into Canada instead of only the US needs a longer destination. A shipper avoiding a congested port may need access to Lázaro Cárdenas, Vancouver, Montréal or Saint John. CPKC's approximately 20,000-mile network touches all of those geographies through owned track, subsidiaries, trackage rights and agreements.10K The option is operational, not alchemical.

The traffic mix has started using the option

CPKC's 2025 results contain a small but revealing example. Automotive carloads fell 4% from 2024, yet automotive revenue rose 2% and revenue ton-miles rose 10%. The company attributed the change primarily to higher volumes from Mexico to Canada and lower volumes moving the much shorter distance from Mexico to Laredo, Texas.10K Fewer carloads travelled more miles because the destination mix shifted north.

That is close to the route-optionality thesis in accounting form. CPKC did not need every automotive lane to grow. It benefited when more traffic used a longer part of the integrated network.

Other flows moved in both directions. The railway reported higher US grain volumes to Mexico and higher liquefied petroleum gas volumes from western Canada to Mexico and Texas in 2025.10K Its network also serves most automotive plants in Mexico, moves finished vehicles originating in all three countries and links them to distribution facilities across the continent.10K This is a portfolio of origin-destination pairs, rather than one heroic bet on northbound containers.

CPKC added physical capacity to make those pairs usable. In December 2024, it completed a US$100 million second rail span between Laredo and Nuevo Laredo. The company said the new span, built beside the existing bridge, more than doubled its capacity at the border and allowed trains to operate in both directions simultaneously.BRIDGE A strategic option still needs track, inspection equipment and reinforced concrete. Apparently even optionality eventually submits a capital request.

None of these disclosures isolates revenue caused by tariffs, nearshoring or the merger. There is no public counterfactual showing what CP and KCS would have carried as separate companies. CPKC's total freight revenue rose 4% in 2025, but multiple businesses and pricing changes contributed.10K The evidence supports a narrower conclusion: the integrated network is carrying long cross-border flows whose origins and destinations can change independently.

That is enough to make the asset more strategically useful. It is not enough to declare every trade dispute accretive.

Route optionality has borders of its own

An integrated railway is exposed to the same fragmentation that makes its route set valuable.

CPKC warns that tariffs, quotas, trade-agreement reviews and non-renewal can reduce freight volumes and delay customer investment. Its Mexican business depends heavily on US-Mexico trade. The Mexican network also operates under a government concession, with exclusive freight rights through 2037 subject to specified trackage and haulage rights. Revocation or termination could prevent CPKC from operating those lines.10K The continental switchboard includes a concession agreement in one of its sockets.

Regulators also limited what integration could close off. The STB required CPKC to keep affected gateways with other railways open on commercially reasonable terms and imposed a seven-year oversight period. Customers can challenge certain gateway rates or service through a streamlined Board process or arbitration.STBPR The merger created internal options for CPKC while regulators preserved external options for shippers.

Physical geography supplies another constraint. CPKC's Mexican network reaches the United States primarily through Laredo. A second bridge span expands capacity, but it does not create a second Laredo. Weather, inspections, security events, labour disruptions and border policy can still interrupt the corridor. Customers also need a rail-served plant, terminal or transload connection at the useful end of the route.

Finally, volatility can destroy demand faster than it redirects it. A tariff that moves automotive production from Ontario to Mexico may produce a new CPKC lane. A tariff that reduces North American vehicle sales may leave fewer cars to move anywhere. Option value rises with uncertainty only when the holder can exercise the option and the underlying activity survives.

Value infrastructure by the choices it preserves

Founders and boards evaluating an infrastructure acquisition usually start with utilization, cost savings and growth. Those belong in the model. CPKC's case adds a second worksheet: which future decisions become possible because the assets sit under common control?

Use five tests.

  1. Find the handoff being removed. CP and KCS already exchanged traffic before the merger. Common ownership removed a recurring negotiation over schedules, rates, railcars and investment. If an acquisition merely changes the logo above an unchanged dependency, the operational constraint remains.

  2. List plausible origin-destination pairs. Do not forecast one route and increase it by a confident percentage. Map the customers, suppliers, facilities and markets that could substitute for one another. Then mark which pairs the combined system can serve without a new intermediary.

  3. Measure the exercise time. CPKC launched MMX weeks after operational integration because the track and intermodal relationships already existed. A route requiring a new factory, permit or port terminal is a future project. It is not an option available during next quarter's disruption.

  4. Identify who captures the value. Longer hauls can increase railway revenue ton-miles, as the Mexico-to-Canada automotive mix did in 2025. Other rerouting may shorten the haul, lower total volume or strengthen a customer's negotiating leverage. Strategic usefulness does not guarantee shareholder value.

  5. Price the constraints. Include concessions, regulatory conditions, gateway obligations, border crossings, labour rules, capacity and the debt used to buy the network. CP expected roughly US$20 billion of outstanding debt after closing into trust and temporarily suspended its share-buyback program while it reduced leverage.DEAL Optionality purchased with permanent capital should survive more than one favourable scenario.

This framework applies beyond rail. A payments company spanning several regulatory regimes, a distributor with warehouses near several manufacturing clusters or an energy network connecting multiple sources can all gain value when flows change. The essential feature is not geographic sprawl. It is the ability to make a different choice with assets already controlled.

CPKC paid US$31 billion for growth, synergies and a railway that finally joined its own map. The subsequent trade rupture did not validate every assumption in the merger deck. It made the assumption that mattered most easier to see.

When the next acquisition promises an integrated platform, ask management to show the routes it can switch, the handoffs it removes and the constraints that remain. Growth tells you what the asset earns if the forecast is right. Optionality tells you what it can still do when the forecast develops a customs problem.
